JSW One Platforms Ltd has filed draft papers with SEBI for a Rs 3,054 crore IPO, comprising a fresh share issue of Rs 1,300 crore and an Offer for Sale (OFS) of Rs 1,754.01 crore. The offering aims to fund marketing expansion, technology upgrades, and capital augmentation, reflecting the company's growth in India's underpenetrated B2B digital market.
JSW One Platforms Ltd, a technology-enabled B2B platform connecting MSMEs with manufacturing and construction material sellers, has submitted draft prospectus documents to SEBI for a Rs 3,054 crore IPO. The offering includes a fresh equity issue of up to Rs 1,300 crore and an OFS of Rs 1,754.01 crore, with shares to be sold by JSW Steel Ltd, JSW Cement Ltd, and Mitsui & Co Ltd.
The IPO proceeds will allocate Rs 125 crore to JSW One Distribution Ltd for marketing, Rs 500 crore to JSW One Finance Ltd for capital augmentation, and up to Rs 350 crore for technology upgrades. Remaining funds will support general corporate purposes. The company reported Rs 5,743.39 crore in revenue from operations for fiscal 2026, up 44.93% year-on-year, with gross merchandise value (GMV) rising to Rs 18,596.91 crore, a 48.06% increase from fiscal 2025.
JSW One Platforms serves 95,611 registered customers, 1,713 sellers, and 165 brands across 6,963 serviceable pin codes. Its digital infrastructure targets India's Rs 2 trillion B2B market, where digital penetration in manufacturing and construction sectors stood at 3% in fiscal 2026. The company's growth aligns with the sector's potential, as the manufacturing market is estimated at Rs 8.84 lakh crore and construction at Rs 11.30 lakh crore.
The IPO's OFS component raises concerns about ownership dilution for JSW Steel, JSW Cement, and Mitsui & Co Ltd. Meanwhile, the allocation to technology and logistics partners like 81 logistics providers and 12 contract service centers positions the company to scale its platform. However, success hinges on effective fund deployment and investor appetite for B2B tech platforms.
JSW One Platforms' Rs 3,054 crore IPO aims to scale its B2B digital infrastructure, leveraging strong revenue growth and a large addressable market. The outcome depends on effective fund utilization and market demand, with risks around ownership dilution and execution challenges.
